1. Acceptance of Terms

Welcome to Word Flow. These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and Word Flow ("Company", "we", "us", or "our") governing your access to and use of the Word Flow application, website, and services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

You represent and warrant that you are at least 18 years of age, or if you are under 18 years of age, you have obtained parental or guardian consent to enter into these Terms and use the Service.

2. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use the Service.

It is your responsibility to review these Terms periodically for changes. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.

3. Account Registration and Security

To access certain features of the Service, you may be required to register for an account. You must provide accurate, current, and complete information during the registration process and keep your account information updated.

You are responsible for safeguarding the password and access credentials that you use to access the Service and for any activities or actions under your account. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

We reserve the right to disable any user account at any time in our sole discretion, including if we believe that you have violated any provision of these Terms.

You are solely responsible for all content and activity that occurs under your account.

4. Google Sign-In and Data Usage

Our Service allows you to register and log in using Google Sign-In. By using this feature, you authorize us to access and store the following information from your Google account:

6. Subscriptions and Payments

6.1 Subscription Services

Word Flow may offer subscription services that provide access to enhanced features, functionality, or content. The specific features included in each subscription tier will be described on our website or within the Service.

6.2 Billing and Payment

When you purchase a subscription, you agree to pay all applicable fees. All fees are in U.S. dollars unless otherwise specified and are exclusive of all taxes or duties imposed by governing authorities.

We may use third-party payment processors, such as PayPal, to bill you for subscription services. The processing of payments will be subject to the terms, conditions, and privacy policies of the payment processor in addition to these Terms.

You authorize us to charge the payment method you provide to us for all applicable fees. If your payment cannot be completed, we may suspend or terminate your access to the subscription services.

6.3 Subscription Periods and Automatic Renewal

Subscriptions may be offered on a monthly, quarterly, annual, or other periodic basis. Unless otherwise specified, subscriptions automatically renew for additional periods of the same duration as the original subscription period.

You authorize us to automatically charge your payment method for each renewal period unless you cancel your subscription before the end of the current billing period.

6.4 Price Changes

We reserve the right to adjust pricing for our subscriptions or any components thereof in any manner and at any time as we may determine in our sole discretion. Except as otherwise expressly provided for in these Terms, any price changes will take effect following notice to you.

6.5 Taxes

You are responsible for all applicable taxes, and we will charge tax when required to do so. If you are tax-exempt, you must provide us with a valid tax exemption certificate.

7. Cancellations and Refunds

7.1 Cancellation

You may cancel your subscription at any time through your account settings or by contacting our customer support. Upon cancellation, your subscription will remain active until the end of your current billing period, after which it will not renew.

7.2 Refunds

Except as required by applicable law, payments are non-refundable. No refunds or credits will be provided for partially used subscription periods or for periods when you did not use the subscription services.

In exceptional circumstances, we may, at our sole discretion, issue refunds or credits. Any exceptions made in one instance do not entitle you to receive the same treatment in another instance.

7.3 Trial Periods

We may offer trial subscriptions to certain users. Trial subscriptions automatically convert to paid subscriptions unless cancelled before the end of the trial period. You will not receive a notice that your trial period is about to end or has ended.

8. Intellectual Property Rights

8.1 Ownership

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Word Flow and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Word Flow.

8.2 License to Use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial use.

10.1 Definition

"User Content" means any content that users submit, post, or transmit to, through, or in connection with the Service, including without limitation, text, images, photos, videos, comments, feedback, suggestions, and other materials.

10.2 License Grant

By submitting User Content to the Service, you grant Word Flow a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and Word Flow's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Service in any media formats and through any media channels.

We have the right, but not the obligation, to monitor and edit or remove any User Content. We take no responsibility and assume no liability for any User Content that you or any other user or third party posts or transmits using our Service.

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and share information about you when you use our Service. By using the Service, you consent to our collection, use, and sharing of information as described in our Privacy Policy.

12. Disclaimers and Limitations of Liability

12.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WORD FLOW, ITS SUBSIDIARIES, AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT: (A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WORD FLOW, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; AND (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT WILL OUR AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (1) THE AMOUNT YOU HAVE PAID TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (2) $100.

12.3 Exclusions

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. THEREFORE, SOME OF THE ABOVE LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify, and hold harmless Word Flow, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

14. Termination

14.1 Termination by You

You may terminate your account and discontinue your use of the Service at any time by following the instructions in your account settings or by contacting us.

14.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

14.3 Effects of Termination

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Upon termination, your User Content may remain on the Service unless you specifically request its deletion. We reserve the right to maintain copies of your User Content indefinitely for backup, archival, or audit purposes.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law provisions.

15.2 Informal Dispute Resolution

Before filing a claim against Word Flow, you agree to try to resolve the dispute informally by contacting us. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or Word Flow may bring a formal proceeding.

15.3 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, invalidity, breach, or termination thereof, shall be settled by arbitration in accordance with the [Applicable Arbitration Rules] in effect on the date on which the demand for arbitration is filed.

15.4 Class Action Waiver

YOU AND WORD FLOW AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Further, unless both you and Word Flow agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

15.5 Small Claims Court

Notwithstanding the foregoing, you may bring an individual action in the small claims court of your state or municipality if the action is within that court's jurisdiction and is pending only in that court.

16. Miscellaneous

16.1 Entire Agreement

These Terms constitute the entire agreement between you and Word Flow regarding our Service and supersede all prior agreements and understandings, whether written or oral, regarding the Service.

16.2 Waiver

No waiver by Word Flow of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Word Flow to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

16.3 Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

16.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Word Flow's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect. Word Flow may assign or transfer these Terms, at its sole discretion, without restriction.

16.5 Force Majeure

Word Flow shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials.

Any notice provided to Word Flow pursuant to these Terms should be sent to the contact address specified in Section 17.

Any notice to you will be provided by email to the email address that you provide to us or by posting a notice on our Service. You agree that any notice provided to you by email or by posting on our Service will satisfy any legal communication requirements.
